Arca Space Capital completes acquisition of majority stake in Gruppo Maffei

The transaction saw law firm Target advising Arca Space Capital, Russo De Rosa Associati advising the sellers, Orrick advising the lending banks (BPER Banca, Banca Sella and Banca Popolare di Puglia e Basilicata) and ZNR Notai handling the notarial aspects. Arca Space Capital has completed the acquisition of a majority interest in Gruppo Maffei, an Italian operator active in the production of fresh pasta and semolina fresh pasta, with production facilities in Barletta, Sogliano Cavour (Lecce) and Aprilia (Latina). The operation is intended to support the group’s industrial growth plan and its international expansion. Shareholder Ignazio Maffei retains a significant stake in the company and will continue to play a leading role as an executive director with delegated powers, supported by a dedicated managerial structure. The transaction was financed by a banking syndicate composed of BPER Banca, Banca Sella and Banca Popolare di Puglia e Basilicata. Notarial duties were performed by ZNR Notai, with notaries Filippo Zabban and Armando Scorza. Target represented Arca Space Capital with a team composed by: partner Tommaso Amirante (corporate and M&A lead), managing associate Taila Centrella and associates Francesca Corte and Ilaria Taddeo (corporate and M&A); partner Domenico Segreti, managing associate Giuseppe Salamone and associate Federica Pia Fornaro (administrative law); partner Francesco Fulgoni (labour law); partner Enrico Cossa (tax); and partner Matteo Bazzani (banking, leveraged finance documentation). Russo De Rosa Associati represented the sellers with a team composed by: partner Gianmarco Di Stasio, counsel Sergio Mori, associate Alessandro Perna and trainee Francesca Furfari (legal); partners Leo De Rosa and Alessandro Manias and senior counsel Andrea Massaccesi (tax and structuring). Orrick represented the lending banks (BPER Banca, Banca Sella and Banca Popolare di Puglia e Basilicata) with a team composed by: partner Marina Balzano, senior associate Filippo Nola, associate Claudia Loriggio and trainee Elisa Zaccaria. ZNR Notai handled the notarial aspects with notaries Filippo Zabban and Armando Scorza.
