The shares are issuable upon conversion of a senior secured 8% original issue discount convertible promissory note and upon exercise of a related warrant issued under a Securities Purchase Agreement dated June 23, 2026. The transaction is a structured equity-linked financing and resale registration. The company reported receiving US$1,380,000 in gross proceeds at the initial closing for a US$1,500,000 principal amount of the note, and it may receive an additional US$460,000 in gross proceeds for the remaining US$500,000 principal amount upon effectiveness of the registration statement, subject to conditions. The filing notes that the note and warrant could result in substantial dilution: the warrant covers up to 468,978 Class A ordinary shares, while the prospectus covers up to 21,028,050 shares in total.
