DLA Piper advises Heidelberg Materials on USD 427.9 million acquisition of Akçansa stake in Türkiye

"DLA Piper advised Heidelberg Materials AG on the USD 427.9 million acquisition of Sabancı Holding’s 39.72% stake in Akçansa, raising Heidelberg’s ownership to 79.44%. DLA Piper worked with Turkish counsel Akol Law. Heidelberg is assessing whether a mandatory tender offer to remaining shareholders is required."

DLA Piper advised Heidelberg Materials AG on its acquisition of Sabancı Holding's 39.72% stake in Akçansa Çimento Sanayi ve Ticaret A.Ş., with local Turkish counsel Akol Law assisting DLA Piper. The transaction increases Heidelberg’s shareholding in Akçansa from 39.72% to 79.44%. Heidelberg is currently assessing the requirement of a mandatory tender offer to Akçansa’s remaining shareholders. Akçansa is a leading Turkish cement and building materials company listed on Borsa Istanbul, operating three cement plants, 26 ready-mixed concrete plants, five aggregate quarries and five cement terminals across five seaports. The acquisition strengthens Heidelberg’s position in Türkiye, the Mediterranean Basin and other international growth markets, allowing the company to unlock operational, commercial and logistical synergies and to expand its export capabilities by leveraging one of the world’s most cost-competitive production hubs. Majority ownership will enable Heidelberg to fully consolidate and further develop Akçansa’s operational and strategic potential while reinforcing its supply capabilities in a market with attractive long-term growth prospects. Heidelberg Materials is one of the world’s largest integrated manufacturers of heavy building materials, employing around 49,000 people in almost 50 countries with leading positions in cement, aggregates and ready-mixed concrete.
