Willkie Advises Churchill Capital Corp XI on $2.5 Billion Merger with Agility Robotics

Willkie Farr & Gallagher advised Churchill Capital Corp XI (NASDAQ: CCXI) in connection with its $2.5 billion merger with Agility Robotics, Inc. On June 24, Churchill Capital Corp XI and Agility Robotics entered into a definitive business combination agreement pursuant to which Agility Robotics will become a publicly traded company. Upon closing, the combined company is expected to operate as Agility and be listed on a major North American exchange under the ticker symbol AGLT. The business combination is expected to create the only U.S. publicly listed pure-play humanoid company with proven, active commercial deployments. Agility Robotics’ flagship humanoid robot, Digit, is currently operating in manufacturing, distribution and logistics environments to address chronic physical labor shortages. Willkie previously advised Churchill Capital Corp IX on its $1.2 billion merger with Plus Automation and Churchill Capital Corp X on its $1.8 billion merger with Infleqtion. Churchill Capital Corp XI is a blank check company formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination.
