TozziniFreire acted as deal counsel to Empresa de Mecanização Rural in a BRL 100 million commercial notes offering, with Banco Bradesco BBI serving as underwriter. The transaction was the issuer's first issuance of commercial notes and comprised a BRL 100 million public offering distributed in Brazil under CVM Resolution 160. It involved a single-series issuance of commercial notes secured by real and additional guarantees, structured as a public distribution through the automatic registration procedure and offered exclusively in the Brazilian market. Three entities provided guarantees for the issuance: Cbf Indústria de Gusa, Energia Viva Agroflorestal and Veredas Agroindustrial. TozziniFreire represented Empresa de Mecanização Rural with a team composed by: partners Gustavo Rugani and Daniel Laudísio, supported by Paulo Estevão Miranda, Marina Maia de Souza, João Vitor Stumpf and Iara Morais Capelão.
