Amplifon secures €1.35 billion senior loan to finance GN Hearing acquisition

"White & Case advised Amplifon and Clifford Chance advised the lending syndicate on a €1.35 billion senior loan to support Amplifon’s acquisition of GN Hearing. The facility—arranged by a banking pool with Goldman Sachs Bank Europe SE and J.P. Morgan SE as Global Coordinators and UniCredit as Facility Agent—complements proceeds from an equity raise and has a maximum 24‑month term."

White & Case acted as legal adviser to Amplifon, while Clifford Chance advised the syndicate of lending institutions. Amplifon has signed a €1.35 billion senior loan to support the financing of its acquisition of GN Hearing, with closing of the transaction expected by the end of 2026. The senior loan was subscribed with a pool of financial institutions. Goldman Sachs Bank Europe SE and J.P. Morgan SE served as Global Coordinators. The Mandated Lead Arrangers and Bookrunners are Goldman Sachs Bank Europe SE, J.P. Morgan SE, Banco BPM, BNP Paribas (Italian Branch), CaixaBank – Succursale in Italia, Cassa Depositi e Prestiti, Crédit Agricole Corporate and Investment Bank (Milan Branch), Deutsche Bank Luxembourg, HSBC Continental Europe, ING Bank N.V. (Milan Branch), Intesa Sanpaolo (IMI CIB Division), Mediobanca – Banca di Credito Finanziario and UniCredit. UniCredit also serves as Facility Agent. The financing, together with the proceeds of the equity increase completed on 22 May, is intended to cover the cash component of the acquisition, including transaction costs. The senior loan has a maximum duration of 24 months with an extension option, on terms aligned with market practice for comparable transactions. White & Case represented Amplifon with a legal team. Clifford Chance represented the syndicate of lending institutions with a legal team.
