ADVANT Nctm and Chiomenti Advise Acquedotto Pugliese and PGIM on €79m Shelf Notes

ADVANT Nctm advised Acquedotto Pugliese and Chiomenti advised the private credit division of PGIM on the issuance; Moore & Van Allen acted as U.S. special counsel and Deutsche Bank Italy’s Trust Milan (Corporate Trust) team acted as agent. The transaction comprised the placement of a €79 million shelf bond under the existing note purchase and private shelf agreement, subscribed by entities affiliated with PGIM, the investment manager within Prudential Financial. The shelf bonds are senior unsecured, carry a 15-year maturity to June 2041, pay a semi-annual fixed-rate coupon and will not be listed on regulated markets. Deutsche Bank Italy’s Trust Milan team supported the operation in the capacity of agent. ADVANT Nctm represented Acquedotto Pugliese with a team composed by: partner Antonio La Porta and managing associate Francesca Spadafora; tax matters were handled by counsel Luca Ferrari Trecate. Chiomenti represented the private credit division of PGIM with a team composed by: partners Benedetto La Russa, Davide D’Affronto and Nicholas Lasagna; counsel Fraser Wood; and associate Guido Pisaneschi. Tax aspects were followed by of counsel Maurizio Fresca together with senior associate Giovanni Massagli. Moore & Van Allen acted as U.S. special counsel with John Sanders.
