A&O Shearman Advises Compass and Mediobanca on EUR950m SRT‑Compliant Consumer Loan Securitization

A&O Shearman advised Compass and the arranger Mediobanca on the transaction. Compass has completed a new cash securitization of consumer loans with a nominal value of approximately EUR950 million. The transaction represents the third cash securitization structured to comply with regulatory requirements for significant risk transfer (SRT), a mechanism increasingly used for regulatory capital optimisation in the consumer credit sector. Mediobanca acted as arranger and, together with BNP Paribas, Bank of America, Crédit Agricole Corporate and Investment Bank, Intesa Sanpaolo (IMI CIB Division) and Société Générale, acted as joint lead managers for the offering.
