King & Spalding Advises Vachon Group on Tax Aspects of LBO with Apax

King & Spalding advised the founder and the principal managers of Vachon Group on the tax aspects of the leveraged buyout, while Reinhart Marville Torre acted as corporate counsel and Cambon Partners as financial adviser to the founder and managers. PwC, De Pardieu Brocas Maffei and Kirkland & Ellis International LLP advised Apax and its acquisition vehicle S&W Partners Group. The transaction comprises a management-and-founder-led LBO carried out by private equity firm Apax, through its portfolio company S&W Partners Group, which acquires 100% of Vachon Group for a total equity value of €40 million. As part of the deal, the founders and key managers reinvested a portion of their ownership into the new investment vehicle in exchange for hybrid financial instruments, representing approximately €18.1 million in aggregate.
