SNG & Partners Advises ICICI Prudential on ₹520 Crore Acquisition of Pune IT Park

SNG & Partners acted as legal counsel to ICICI Prudential Asset Management Company Limited, assisting its ICICI Prudential Office Yield Optimiser Fund – Series II in the acquisition and coordinating with HDFC Bank, the lender financing the transaction. The transaction involved the acquisition of Aditya Shagun Infinity IT Park, a premium IT complex comprising land and building located in Pune, from K Raheja Corp and Shagun Developers for a consideration of approximately ₹520 crore. This represents one of the Fund's most significant acquisitions to date. SNG & Partners advised on all aspects of the multi-faceted transaction, from structuring and deal-stitching through to end-to-end execution. The firm drafted and negotiated the full suite of transaction documents, including construction agreements, attornment agreements, adherence agreements, fit-out agreements and the conveyancing documentation. The firm also advised on the leveraged structure and ensured coordination between the purchase documentation and the financing arrangements provided by HDFC Bank.
