Conceria Pasubio acquires Luilor with legal advisers

Latham & Watkins, Facchini Rossi Michelutti and STS Deloitte advised Conceria Pasubio, Legance advised Luilor, and Impacta Strategy carried out the strategic due diligence. Conceria Pasubio has acquired 100% of Luilor, an Italian company specialised in the production of high‑end fabrics for furniture and fashion brands. The transaction further develops UNICA, Pasubio’s integrated platform dedicated to the luxury sector, and strengthens the group’s positioning as a diversified industrial partner for leading global brands across automotive, fashion and interior design. Under the deal structure, the Biagioni family will enter the capital of the group holding alongside PAI Partners, the Pretto family and the founders of Antiba and SKIN (Paolo Balducci, Daniele Salassa and Arrigo Calorini). The Biagioni family, together with Luilor’s management, will continue to run the company and will join UNICA’s management committee, contributing to the platform’s industrial strategy with a focus on innovation, sustainability, material traceability and time‑to‑market. Latham & Watkins represented Conceria Pasubio with a corporate team composed by: partners Stefano Sciolla and Andrea Stincardini, with Chiara Giustiniani, Rachele Grassini, Lorenzo Gargelli, Gabriele Mengo and Cosimo Marcantuono. The firm also advised on regulatory matters with Cesare Milani, assisted by Giulio Catalani and Ursula Seliciato, and on finance matters with Erika Brini Raimondi, together with Alessandro Bertolazzi and Giovanni Briscese. Facchini Rossi Michelutti represented Conceria Pasubio on the tax aspects of the transaction with a team composed by partners Luca Rossi and Marina Ampolilla and senior associate Armando Tardini. STS Deloitte represented Conceria Pasubio on tax due diligence with a team composed by Camilla Golzi and Giada Pasini. Impacta Strategy conducted the strategic due diligence for the transaction. Legance represented Luilor with a team composed by Giacomo Gitti, Antonio Garramone and Benedetta Frizzi for corporate matters and by Marco D'Agostini and Caterina Colombano for employment matters.
