Debevoise Advises CD&R on Financing and Antitrust in $10.3 Billion Acquisition of Sealed Air

Debevoise & Plimpton LLP advised Clayton, Dubilier & Rice (CD&R) on the financing and competition aspects of its $10.3 billion acquisition of Sealed Air Corporation, the global provider of food and protective packaging solutions. The transaction comprised the $10.3 billion acquisition of Sealed Air. The financing package supporting the acquisition included: (i) $3,535 million and €650 million in term loan facilities; (ii) a $1,400 million revolving credit facility; (iii) the issuance of $1,850 million and €525 million of senior secured notes; and (iv) the issuance of $500 million of senior unsecured notes.
