DWF Advises ORLEN on Acquisition of the Polimery Police Project

DWF Poland acted as exclusive transaction advisor to ORLEN S.A. on the conclusion of a preliminary agreement for the acquisition of the Polimery Police project from Grupa Azoty, involving 100% of the shares in Grupa Azoty Polyolefins S.A. The transaction is a key restructuring project in the Polish chemicals and petrochemical sector. It will enable the ORLEN Group to develop its polyolefin production capabilities and to consolidate its downstream assets. The Polimery Police project comprises a polypropylene production facility that forms a strategic element of the domestic chemicals industry value chain. DWF Poland provided comprehensive legal advice across the transaction. This included conducting an extensive due diligence review of Grupa Azoty Polyolefins and delivering transaction advisory services within a multi‑party structure. The matters covered advisory support related to the financing parties (a consortium of international banks), the project sponsors (Grupa Azoty), the EPC contractor (Hyundai) and the Korea Overseas Infrastructure & Urban Development Corporation (KIND). The firm also advised on competition law matters, assessing notification obligations and participating in proceedings before the competition authorities. The advisory was delivered by a multidisciplinary DWF Poland team combining expertise in M&A, restructuring, regulatory affairs, competition law, banking and finance, real estate and litigation. The team worked closely with ORLEN S.A.’s business teams throughout the engagement.
