Argos Funds invests in Star7

"Argos Funds has signed a binding agreement to acquire 75% of Star7. Giovannelli e Associati, PedersoliGattai and the M&A tax team of WST advised Argos Funds; White & Case advised the selling shareholders; Legance advised lenders Banca Nazionale del Lavoro and Banco BPM. A mandatory takeover bid and delisting from Euronext Growth Milan will follow, subject to customary conditions including antitrust and golden power approvals."

Giovannelli e Associati, PedersoliGattai and the M&A tax team of WST advised the purchaser Argos Funds; White & Case advised the selling shareholders of Star7; and Legance advised lenders Banca Nazionale del Lavoro and Banco BPM. The transaction comprises a binding agreement whereby the pan-European private equity group Argos Funds has agreed to acquire a 75% stake in Star7 from the majority shareholders. Star7 is a reference player in product information, supporting client companies across the entire product lifecycle with services ranging from product and process engineering to the creation and management of technical content and virtual experiences. Upon completion of the acquisition, Argos Funds will launch a mandatory takeover offer for the remaining Star7 shares in circulation, with the objective of delisting the company from Euronext Growth Milan. Completion of the transaction is subject to customary closing conditions for transactions of this nature, including receipt of antitrust and golden power approvals. Financing for the transaction involved Banca Nazionale del Lavoro and Banco BPM. Giovannelli e Associati represented Argos Funds with a team composed by: partner Alessandro Giovannelli, Matteo Bruni and Filippo Noci, who handled corporate, contractual and capital markets matters; Andrea Scarpellini and Marco Santi Calabrò, who managed employment law aspects; and Paolo Bertolini and Najwa Hamidallah, who handled administrative law matters. WST represented Argos Funds with its M&A tax team. White & Case represented the selling shareholders with a team led by partners Michael Immordino (Milan and London) and Giovanni Spedicato (Milan), and including associates Daniele Pojani, Francesca Muraca and Artem Arzumanov (all Milan). Partner Alessandro Picchi (Milan) took responsibility for Public M&A aspects, while partner Stefano Bellani (Milan) handled finance matters. Legance represented Banca Nazionale del Lavoro and Banco BPM in relation to financing with a team composed by: partner Tommaso Bernasconi, senior counsel Marco Gagliardi and senior associate Mattia Longo; partner Stefano Bandini and senior associate Valerio Severo Marotta for capital markets matters; and senior counsel Riccardo Petrelli and associate Stefano Pesiri for tax matters.
