Advisers to Rinovha and Xenon in Acquisition of Il Recupero

Giovannelli e Associati, GP Law, Chiomenti, Pavia e Ansaldo and PedersoliGattai, together with Xenon’s in-house legal team, advised the parties in Rinovha’s acquisition of Il Recupero. Rinovha, a company in the portfolio of the private equity fund Xenon, has acquired 100% of the share capital of Il Recupero, a business active in the collection, transport, management and disposal of hazardous and non-hazardous special waste. Tikehau Capital financed the transaction by subscribing a unitranche bond loan and providing additional financial resources to support the group in further acquisitions. Pavia e Ansaldo advised Xenon and Rinovha on all matters related to the financing of the operation. GP Law assisted the majority shareholder of Il Recupero, while Chiomenti advised the company’s minority shareholders. Giovannelli e Associati assisted Xenon and Rinovha on corporate matters and employment law aspects. Xenon’s internal legal team coordinated the sponsor’s involvement in the deal.
