Herbert Smith Freehills Kramer advises ENGIE on acquisition of UK Power Networks Holdings Limited for £10.5 billion

UKPN operates three electricity distribution licences covering London, the South East and East of England and manages approximately 192,000 km of network. Completion targeted by mid-2026, subject to regulatory and shareholder approvals."

Herbert Smith Freehills Kramer advised ENGIE S.A. in connection with its proposed acquisition of UK Power Networks Holdings Limited from CK Infrastructure Holdings Limited. The transaction concerns the acquisition of UK Power Networks Holdings Limited (UKPN) for an equity value of £10.5 billion. UKPN operates three electricity distribution licences serving London, the South East and the East of England and manages a network of approximately 192,000 kilometres. The deal represents a significant step for ENGIE in strengthening its position on regulated electricity networks and advancing its objective to become a leading utility of the energy transition. The parties expect to finalise the transaction by mid-2026, subject to receipt of the required regulatory approvals, the satisfaction of customary closing conditions and the approval of the shareholders of the sellers' parent companies listed in Hong Kong.
