Work included cross-border due diligence, structuring and negotiation of purchase and shareholders' agreements through closing."

Seitz advised DER Touristik Group, the tourism division of REWE Group, on the establishment of a joint venture with Deutsche Seereederei Group. The transaction involved the formation of DR Hospitality GmbH & Co. KG, which has taken over the operation and marketing of 16 hotels and resorts under the A-ROSA, aja, Henri Hotels, Hotel Neptun and Hotel Louis C. Jacob brands. The work encompassed a comprehensive, cross-national due diligence of the hotels and the establishment of the joint venture company. The advisory focus extended to the contractual negotiations concerning the acquisition of the shareholding and the governance of the joint venture. Seitz provided comprehensive assistance from the structuring of the transaction through the negotiation of the purchase agreement and the shareholders' agreement to the closing.
