TRUST Advises Nyab Group and Shareholders in EUR 200 Million Transaction with First North‑listed Skarta Plc

"TRUST advised the Nyab Group and its shareholders in a EUR 200 million share exchange transaction with Skarta Plc, listed on First North. Consideration comprised EUR 2.5 million in cash and EUR 197.5 million via a share issue paid in kind with NYAB Sverige AB shares; the new shares represent approximately 59% of Skarta after closing."

TRUST advised the Nyab Group and its shareholders in the EUR 200 million share exchange transaction executed with Skarta Plc, which is listed on Nasdaq First North. The transaction’s total consideration amounted to EUR 200 million. Of this sum, EUR 2.5 million was paid in cash and EUR 197.5 million through a share issue directed to the shareholders of NYAB Sverige AB. The share issue was settled as a contribution in kind by way of the transfer of NYAB Sverige AB shares. Following completion of the arrangement, the newly issued shares will represent approximately 59 percent of all Skarta shares.
