White & Case Advises Underwriters on AGI Inc. US$240 Million US Initial Public Offering

"White & Case LLP advised the underwriters on AGI Inc.'s US$240 million IPO of 20 million Class A common shares at US$12.00 per share. The shares began trading on the NYSE as AGBK on February 11, 2026. Underwriters included Goldman Sachs, Morgan Stanley, Citigroup and several Brazilian and US banks and brokers."

White & Case LLP advised the underwriters — Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC (acting as active global coordinators); Citigroup Global Markets Inc. (acting as passive global coordinator); Banco Bradesco BBI S.A.; Banco BTG Pactual S.A. – Cayman Branch; Itaú BBA USA Securities, Inc.; Santander US Capital Markets LLC; SG Americas Securities, LLC; XP Investimentos CCTVM S.A. (acting as passive joint bookrunners); and Oppenheimer & Co., Inc. and Susquehanna Financial Group, LLLP (acting as co-managers) — in connection with AGI Inc.'s US initial public offering. The transaction comprised an offering of 20 million Class A common shares at US$12.00 per share, for aggregate gross proceeds of approximately US$240 million. The common shares began trading on the New York Stock Exchange under the ticker symbol AGBK on February 11, 2026. AGI Inc. is a technology‑powered provider of specialized financial services in Brazil, founded in 1999. The company served nearly 6.4 million active clients as of September 30, 2025.
