ONE Gas launches $225 million at-the-market offering

Davis Polk acted as special product counsel to the forward counterparties in connection with ONE Gas, Inc.'s at-the-market offering. The transaction related to an SEC-registered at-the-market offering program under which ONE Gas may issue, offer and/or sell shares of its common stock, par value $0.01 per share, with an aggregate offering price of up to $225 million. Sales under the program may be made directly on the market or pursuant to forward sales agreements entered into with the forward counterparties. ONE Gas provides natural gas distribution services to approximately 2.3 million customers. It is the largest natural gas distributor in Oklahoma and Kansas and the third largest in Texas by number of customers, primarily serving residential, commercial and transportation customers. Its shares are listed on the New York Stock Exchange under the symbol OGS. Davis Polk represented the forward counterparties with a team composed by: Mark J. DiFiore (partner, equity derivatives), Richard Stockton Bullitt (associate, equity derivatives) and Jessica Carter (associate, equity derivatives). All members of the Davis Polk team are based in the New York office.
