Orrick Advises Financing Parties on Vauban Infra Fibre's Acquisition of Towerlink France

"Orrick advised a consortium of financing parties — Aether, Banco Bilbao Vizcaya Argentaria (BBVA), MUFG Bank, MUFG Securities (Europe) N.V. and Nomura Financial Products Europe — in the acquisition by Vauban Infra Fibre (via VIFSP6 Trinity S.A.S) of Towerlink France from Cellnex France. The transaction was financed with equity and debt."

Orrick advised the financing parties — Aether, Banco Bilbao Vizcaya Argentaria S.A., MUFG Bank, Ltd., MUFG Securities (Europe) N.V., and Nomura Financial Products Europe GmbH — in connection with the acquisition by Vauban Infra Fibre of Towerlink France from Cellnex France. The acquisition was carried out by VIFSP6 Trinity S.A.S, a wholly owned subsidiary of Vauban Infra Fibre (VIF), and involved the purchase of nearly 100% of Towerlink's shares previously held by Cellnex France. The transaction closed following the satisfaction of the usual customary conditions precedent and was financed through a combination of equity and debt. Founded in 2018, Towerlink is a significant developer, operator and manager of urban data centres across multiple sites in France. Its dense urban network, located close to end customers, supports the digital transformation of territories and contributes to local development. Given Towerlink’s business profile, the acquisition further strengthens VIF’s leadership position in the French market and diversifies its digital infrastructure base. The transaction also consolidates VIF’s strategic partnership with Bouygues Telecom, Towerlink’s principal client and one of France’s leading telecom operators.
