Dentons advises promissory note holders in BMZ Holding’s self-administration and sale of key business units to SKion

Dentons advised a group of promissory note holders of BMZ Holding GmbH in the company's self-administration proceedings and in asserting their rights to separate satisfaction in connection with the sale of BMZ's essential operating subsidiaries to SKion. The sale of the essential operating subsidiaries was completed on February 25, 2026 following approval by the antitrust authorities. The transaction clears the way for the company to make a fresh start under new ownership and management, with SKion now the sole owner of the group. After insolvency proceedings were opened in October 2025, SKion had supported BMZ as a minority shareholder and provided bridge financing. The BMZ Group, based in Karlstein am Main, is a leading international manufacturer of high-performance battery systems and a long-term technology partner for the electrification and decarbonization of key industries; its battery systems are used worldwide in a wide variety of products from well-known brands. SKion is an investment company founded by Susanne Klatten that invests in companies with sustainably successful business models. Dentons represented the promissory note holders of BMZ Holding GmbH with a team composed by: partner Andreas Ziegenhagen and senior associate Tobias Schröter.
