Mitsubishi HC Finance America $500 million guaranteed senior notes offering

Davis Polk advised Mitsubishi HC Finance America LLC and Mitsubishi HC Capital Inc. in connection with a securities offering. The transaction comprised a Rule 144A / Regulation S offering of $500 million aggregate principal amount of 4.558% senior notes due 2031. The notes are senior unsecured obligations of Mitsubishi HC Finance America LLC and are unconditionally guaranteed on a senior unsecured basis by Mitsubishi HC Capital Inc. The notes are listed on the Singapore Exchange Securities Trading Limited. Mitsubishi HC Capital is a leading comprehensive non-bank financial company headquartered in Japan, formed by the 2021 business integration of Mitsubishi UFJ Lease & Finance Company Limited and Hitachi Capital Corporation. Mitsubishi HC Finance America acts as a U.S. finance subsidiary to enhance the group’s U.S. dollar funding capacity and support Mitsubishi HC Capital’s overseas expansion, particularly in the United States.
