Avocom Group appoints Carmelo Massimo De Iuliis as Senior of Counsel

In his new role De Iuliis will work with Avocom Group professionals on corporate governance arrangements and the functioning of corporate bodies, duties and responsibilities of directors, statutory auditors and executives, capital transactions and relations among shareholders, shareholders’ agreements, management delegations and control systems, banking contracts and financial instruments, complex corporate and financial transactions, pro veritate opinions and corporate and banking litigation, as well as comparative law issues and transactions with cross-border elements.
De Iuliis is qualified to practise before the higher courts and has developed extensive experience within the legal departments of Credito Italiano and Banca Commerciale Italiana, later part of Banca Intesa. He also directed the Milan office of Studio Ripa di Meana. His career includes nearly twenty years of activity within banking groups, providing direct knowledge of the corporate, contractual and financial issues of credit institutions.
Since 2009 he has served as adjunct professor at Università Cattolica del Sacro Cuore in Milan, within the Department of Private and Public Law of the Economy, where he teaches Company Law. From 2000 to 2008 he taught Advanced Commercial Law at Università Bocconi in Milan.
He is the author of numerous publications on corporate, banking and financial markets law, including Lineaments of Financial Market Law, Principles of Financial Market Law and Norms and Schemes of Corporate Law, a manual now in its sixth edition updated to the discipline introduced by the so-called Capitali Law. His scientific production also covers corporate governance, directors’ liability, corporate purpose, banking operations and financial instruments, and includes a comparative contribution on the Business Judgment Rule in Anglo‑American and civil law systems published in 2024. Alongside his research in commercial law, De Iuliis has pursued studies of the legal thought of Gottfried Wilhelm Leibniz, preparing introductions, Latin translations and critical apparatuses for several works of the German philosopher and jurist.
