David Jargiello Joins Holland & Knight in San Francisco

Mr. Jargiello joins the Firm’s Legal Services Transactions Team and will also practice with Holland & Knight’s Legal Profession Team. He will focus on corporate mergers and acquisitions (M&A), law firm governance, professional responsibility and legal services transactions, including management services organizations (MSO) structuring, alternative business structures (ABS) and related regulatory compliance.
Mr. Jargiello brings more than three decades of transactional experience advising law firms, legal services businesses, private equity investors and legal technology companies on strategic transactions and complex business structures with corporate and professional responsibility considerations. He counsels on law firm mergers and other combinations, lateral group transactions, investments in law firms and legal services businesses, and on the ownership, governance and regulatory issues those matters present.
He joins Holland & Knight from VLP Law Group LLP, where he served as a partner and general counsel. He has also served as general counsel to three law firms and to a venture capital fund, and was venture partner and general counsel of Flywheel Ventures, where he structured and supported investment activity and advised on fund structuring, partnership matters and legal and operational risk.
In addition to his transactional practice, Mr. Jargiello has an established profile in professional responsibility and law firm governance. He is a lecturer in professional responsibility at the University of California, Berkeley School of Law and previously held a similar role at Stanford Law School. He serves on the board of trustees of the State Bar of California as one of five members appointed by the California Supreme Court and previously served on the State Bar’s Committee on Professional Responsibility and Conduct. He is the author of Professional Responsibility for Lawyers.
Mr. Jargiello earned a J.D. from the University of California, Berkeley School of Law, an M.S. from Stanford University and a B.A. from Case Western Reserve University. He is admitted to practice in California and Pennsylvania.
