Dennis Manfredi counsels insurance companies, financial institutions and investors on a broad range of transactional and regulatory matters. His work includes mergers and acquisitions, domestic and cross‑border reinsurance transactions, reinsurance collateral arrangements, pension risk transfer transactions and innovative structured finance matters such as private equity‑backed life and annuity sidecars. He also advises on insurance holding company system regulation and general insurance regulatory matters. He is joining Simpson Thacher as a Partner in the Mergers and Acquisitions Practice.
Joseph Cosentino represents clients in mergers, tender offers, stock and asset acquisitions and related domestic and cross‑border transactions in the insurance sector. He has represented acquirers, targets, boards of directors, special committees, investment banks and investors in complex negotiated and unsolicited public and private transactions. He is joining Simpson Thacher as a Partner in the Mergers and Acquisitions Practice and will serve as Co‑Head of the Insurance Transactional and Regulatory team alongside Jared Wilner.
Benjamin Kralstein advises U.S. and non‑U.S. insurers, reinsurers, intermediaries, investors and financial institutions on a broad range of transactional and regulatory matters in the insurance and reinsurance industry. His experience includes domestic and cross‑border reinsurance transactions and related collateral arrangements, sidecar transactions, pension risk transfer transactions, mergers and acquisitions, structured finance solutions and insurance securitizations. He is joining Simpson Thacher as a Partner in the Mergers and Acquisitions Practice.
