Paul Hastings Adds Executive Compensation Partner Sasha Belinkie to New York Office

Belinkie joins Paul Hastings from White & Case and spent the majority of her career at Wachtell prior to that. She focuses on the executive compensation aspects of mergers and acquisitions and cross-border capital markets and restructuring transactions, and also advises on standalone executive compensation and governance matters. Belinkie regularly handles executive compensation and benefits issues arising in public company M&A, with an emphasis on representing target companies in strategic mergers and advising public and private buyers in the acquisition, management and disposition of corporate assets.
Sitting at the intersection of corporate strategy, governance and human capital, she works closely with boards and senior management on employment contracts, incentive packages and complex personal tax considerations when companies change hands. She also counsels companies on internal governance matters, securities laws and compensation disclosure, and assists executives on stock options and other equity awards, long-term retention and severance agreements.
Her representative work includes matters for Ionic Digital, Inc., Masimo Corporation, Sun Pharmaceuticals Industries Inc. and USA Rare Earth, Inc., and advising Masimo on its $9.9 billion acquisition by Danaher Corporation; Sun Pharmaceuticals on its agreement to acquire Organon & Co. for an enterprise value of $11.75 billion; Fertitta Entertainment on its agreement to acquire Caesars Entertainment for approximately $17.6 billion; and Square, Inc. in its $29 billion acquisition of Afterpay Limited.
Belinkie has served as co-chair of the New York City Bar Association’s Subcommittee on Executive Compensation and Nonqualified Deferred Compensation since 2020 and was the recipient in 2022 of the American Bar Association’s On the Rise — Top 40 Young Lawyers Award.
