Kwabena Yeboah joins Fox Rothschild as a partner in the firm’s Taxation & Wealth Planning Department in Washington, DC.

Yeboah advises clients on sophisticated tax planning and structuring matters across a broad range of domestic and cross-border transactions. He regularly counsels private equity firms and clients across multiple industries on the tax aspects of mergers, acquisitions, recapitalizations, reorganizations and joint ventures. He advises fund sponsors on the formation and structuring of private investment funds for U.S., non-U.S. and tax-exempt investors, addressing issues such as effectively connected income, unrelated business taxable income and carried interest. His practice also covers partnership and joint venture arrangements, including waterfall distribution mechanics, profits interests, capital account maintenance and allocation methodologies. His transactional work spans taxable, tax-deferred and tax-free transactions, with notable experience in structuring transactions in the healthcare industry.

Yeboah joins Fox Rothschild as a partner, bringing deep technical tax experience and a background in fund formation, private equity sponsor representation and cross-border transactions. He earned an LL.M. from Georgetown University Law Center, a J.D. from American University Washington College of Law and a B.A. from Washington University in St. Louis. Prior to joining Fox, Yeboah was an attorney with McDermott Will & Schulte.
