Kilpatrick Townsend & Stockton Adds Michael Kummer to Mergers & Acquisitions Team
"Kilpatrick Townsend & Stockton hires Michael Kummer as Counsel on its Mergers & Acquisitions Team. He will focus on general counsel services for privately held companies, bringing in-house technology expertise."
Mr. Kummer will remain based in Bozeman, Montana, where he has practiced for the past 12 years. He joins Kilpatrick from Zoot Enterprises, Inc., where he served as Managing Counsel. At Kilpatrick he will focus on providing general counsel services to privately held companies and will join the firm with the seniority of Counsel.
At Zoot Enterprises, Mr. Kummer led a team of legal, compliance, and governance professionals and was responsible for day-to-day management of transactions, risk management and legal operations. His responsibilities included commercial contracts, corporate and tax transactions; privacy, security, insurance, intellectual property and litigation risk management; entity structuring and formation; debt and equity financing; corporate governance; contract drafting and negotiation; template creation; mergers and acquisitions; and management of outside counsel and accountants. He also advised on a broad range of tax planning and structuring matters and drafted and negotiated non-disclosure agreements, master services agreements, reseller and joint-venture agreements, and licenses for cloud computing and client-side deployed software.
Earlier in his career, Mr. Kummer was Cloud Deal Manager for Oracle America, Inc., where he reviewed, negotiated and drafted cloud service agreements for SaaS, IaaS and PaaS offerings and worked on more than 400 cloud transactions generating over $125,000,000 in revenue.
