Carson advises clients on complex public and private M&A, cross-border transactions, and bespoke derivative structures that intersect with M&A and financing matters. He counsels on securities law matters, including ’33 and ’34 Act compliance, securities issuances, and corporate governance, and regularly guides clients through the entire deal lifecycle from term sheet negotiation through post-closing matters. Carson also brings experience on shareholder activism matters, healthcare royalty financings, and cross-border transactions for clients across the US and EMEA, advising strategics, private equity sponsors, hedge funds, investment funds, and global financial institutions on matters ranging from midmarket deals to multibillion-dollar mandates.
