Three Corporate Partners Join Dorsey & Whitney LLP in Southern California

Terrence Allen brings more than 30 years of experience representing private equity funds, public and private companies and entrepreneurs in complex transactions. His work includes public and private mergers, asset acquisitions and dispositions, leveraged recapitalizations, corporate reorganizations, and negotiation and implementation of employment, retention and incentive agreements. He has handled cross-border acquisitions, dispositions and joint ventures, public company acquisitions and sale transactions, and the acquisition and sale of more than 100 privately held businesses across nearly all major industries. Allen joins Dorsey from Loeb & Loeb LLP, where he was a Partner, and enters Dorsey as a Partner in the Mergers & Acquisitions group.
Megan Gess has extensive experience guiding clients through sophisticated M&A, private equity and commercial transactions across sectors including retail and consumer products, real estate, technology, healthcare, financial services and life sciences. She is known for developing practical, creative strategies for complex deals and for working closely with clients to understand their business goals. Gess joins Dorsey from Stradling, where she was a Partner, and enters Dorsey as a Partner in the Mergers & Acquisitions group.
Andrew Hagopian brings years of in-house legal experience in regulated industries, having served in general counsel and other legal executive roles at both publicly traded and privately held growth companies, including a health and wellness franchise, a biotechnology and manufacturing start-up, and a sports betting entertainment company. His background provides practical insight into business priorities, operational realities and legal risk in fast-moving environments, and he is experienced in coordinating cross-functional teams for M&A transactions. Hagopian joins Dorsey from Xponential Fitness, where he was Chief Legal Officer, and enters Dorsey as a Partner in the Mergers & Acquisitions group.
