Yonadi brings more than 20 years of experience advising on the design, implementation, administration, fiduciary issues, communication and termination of both qualified and nonqualified employee benefit and executive compensation plans. He counsels trustees, lenders and selling shareholders in transactions involving the formation of employee stock ownership plans (ESOPs), and addresses related compliance, fiduciary and governance issues. Yonadi’s practice serves clients of all sizes — including publicly traded companies within and outside the U.S., privately held companies and nonprofit entities — and focuses on qualified and nonqualified compensation plans, long-term incentive plans, stock option plans, employee stock purchase plans, phantom equity plans and alternative equity structures. He also advises U.S. and multinational corporations on the legal and tax implications of granting equity in jurisdictions around the world and has hands-on experience advising fiduciary and administrative retirement plan committees on matters arising under ERISA and the Internal Revenue Code. Clients retain Yonadi for ESOP transactions and counsel on using ESOPs as a succession-planning tool. He holds a J.D. and an LL.M., with honors, from the University of Illinois–Chicago.
